StayDirect Terms of Service

By using StayDirect (“Service”), you (“Client” – meaning the property host, manager, or owner) agree to be bound by the following terms and conditions (“Terms of Service”).

StayDirect Inc. (“Company”) reserves the right to update and change these Terms of Service at any time without prior notice. Continued use of the Service after such changes constitutes your acceptance.

Violation of these Terms may result in suspension or termination of your account.

1. Account Terms

  • The Client is responsible for maintaining the security of login credentials. The Company will not be liable for loss or damage arising from Client’s failure to protect account details.

  • The Client is responsible for all activity under its account, including content created by other authorized users.

  • The Client may not use the Service for unlawful purposes or to violate applicable laws.

  • The Client must provide accurate information during signup, including legal name, valid email address, and requested details.

  • Automated signups (“bots” or scripts) are not permitted.

  • The Service may only be used for the Client’s internal business purposes. Reselling or sublicensing without written consent is prohibited.

  • The Client must ensure any data it inputs (including guest information) has been collected lawfully with the necessary consents.

2. Guest Data & Privacy

  • StayDirect enables Clients to collect and use guest information for direct remarketing, including sending follow-up emails, newsletters, and direct booking offers.

  • The Client acknowledges it is solely responsible for obtaining appropriate consents from guests under applicable privacy laws before using guest data for marketing or remarketing purposes.

  • StayDirect may process guest data on the Client’s behalf as a data processor but does not claim ownership of guest data.

3. Payment, Promotions & Refunds

  • Service Fees: Clients are charged based on subscription tier (e.g., Email Capture + Guidebook, or Premium with automation and booking pages). Fees are billed monthly in arrears unless otherwise specified. Pricing is listed at https://www.staydirect.ai/pricing.

  • Fee Increases: The Company may increase fees with 30 days’ notice. Clients may terminate service before the increase takes effect; continued use constitutes acceptance.

  • Overdue Payments: Interest may be charged on overdue balances at the prime rate + 2% per annum.

  • Refunds: Payments are non-refundable. Refunds or credits may be offered at the Company’s sole discretion.

  • Promotions: The Company may offer promotions or discounts, subject to change at any time.

4. Cancellation & Termination

  • Clients may cancel by providing written notice to support@staydirect.ai.

  • Billing continues until the end of the month in which cancellation is received; the final charge will post on the first day of the following month.

  • The Company may suspend or terminate accounts at its sole discretion for violations of these Terms. Upon termination, account access will cease and content may be deleted.

5. Service Availability & Third-Party Features

  • The Company will use reasonable efforts to provide Services reliably, though temporary downtime may occur for maintenance, upgrades, or events beyond our control (Force Majeure).

  • If a third-party feature or integration becomes unavailable, the Company may cease offering that feature without liability.

  • The Company may resell or integrate third-party services but is not responsible for those providers’ failures or disputes.

6. Analytical Data

  • The Client acknowledges the Company may collect anonymized and aggregated data about use of the Services (“Analytical Data”).

  • The Company may use Analytical Data for internal research, product development, statistical reporting, and marketing purposes.

  • Analytical Data does not include personally identifiable guest information.

7. Intellectual Property

  • All intellectual property rights in StayDirect’s Services, software, and systems remain with the Company and its licensors.

  • Feedback, suggestions, or ideas provided by Clients become the sole property of the Company.

  • Clients may not copy, reuse, or distribute any part of the platform’s code, design, or branding without written consent.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information exchanged, except where disclosure is required by law.

9. Warranties & Disclaimers

  • The Services are provided “as is” without warranty of merchantability, fitness for a particular purpose, or non-infringement.

  • The Company does not guarantee that the Service will be uninterrupted, error-free, or free of harmful code.

10. Limitation of Liability

  • The Company’s maximum aggregate liability in any year will not exceed the total fees paid by the Client in the prior 12 months.

  • The Company is not liable for indirect, incidental, or consequential damages, including lost bookings or revenue.

11. Indemnity

The Client agrees to indemnify and hold the Company harmless from any third-party claims arising out of:

  • Use of guest data without proper consent;

  • Violation of laws or regulations;

  • Misuse of the Service.

12. General Provisions

  • Force Majeure: Neither party is liable for delays or failures caused by events outside reasonable control.

  • Assignment: The Client may not assign rights or obligations without prior written consent.

  • Severability: If any part of these Terms is invalid, the remainder stays enforceable.

  • Notices: Notices must be delivered via email to the addresses provided at signup or dan@staydirect.ai.

  • No Third-Party Rights: Only the Client and the Company may enforce these Terms.
